These Terms & Conditions apply to your use of the LeadYora website, services, demonstrations, proposals, communications and any related business solutions we provide.
By accessing our website or using our services, you agree to these terms.
Business Users Only
LeadYora is intended for business users and is not intended for personal, household or consumer use.
By using LeadYora, you confirm that you are acting on behalf of a business or professional organisation.
Acceptance Of Terms
If you do not agree with these Terms & Conditions, you should not use our website, request services or continue using LeadYora.
These terms may also apply alongside any proposal, quotation, order form, service agreement or written contract agreed with you.
Our Services
LeadYora provides AI-powered lead handling, missed call recovery, customer communication support, lead qualification, appointment support, CRM updates and workflow automation.
Specific features may vary depending on your package, setup, integrations, business requirements and any written agreement between us.
Free Demos & Proposals
Free demos, consultations, proposals or assessments are provided for evaluation purposes only.
A demo or proposal does not create a full service relationship unless confirmed in writing by LeadYora and accepted by the client.
Service Activation
Services may begin only after agreement of the relevant proposal, quotation, order form, service agreement, payment terms or written confirmation.
LeadYora may require business information, technical access, approvals, content, integrations or other materials before services can be activated.
Client Accounts & Access
You are responsible for keeping account access, passwords, systems and authorised users secure.
You must notify LeadYora promptly if you suspect unauthorised access, misuse or a security issue affecting your account or connected systems.
Client Responsibilities
You are responsible for providing accurate business information, including services, pricing, opening hours, appointment availability, staff details, customer instructions and any other information used by LeadYora.
You are responsible for reviewing important communications and ensuring that your use of LeadYora complies with applicable laws and professional obligations.
You must not use LeadYora for unlawful, misleading, abusive, fraudulent, spam-related or harmful activity.
Customer Communications & Consent
You are responsible for ensuring that you have the legal right to contact your customers, leads and prospects using any communication channels connected to LeadYora.
This includes compliance with data protection, marketing, electronic communications and consent requirements.
AI & Automation Disclaimer
LeadYora uses artificial intelligence and automation technologies to assist with customer communication, lead qualification and workflow automation.
AI-generated outputs may not always be complete, accurate, appropriate or suitable for every situation. Important outputs should be reviewed by a human where appropriate.
No Professional Or Emergency Advice
LeadYora does not provide legal, medical, financial, safety, technical or emergency advice.
LeadYora is not an emergency response service and should not be relied upon for urgent, life-safety or critical professional decisions.
No Guaranteed Results
LeadYora is designed to help improve lead handling, response speed, customer communication and business workflow efficiency.
We do not guarantee any specific number of leads, appointments, sales, customers, revenue, conversion rates, rankings, business growth or financial results.
Results may depend on your industry, offer, pricing, location, availability, market demand, staff performance, customer behaviour and other factors outside our control.
Pricing, Payment & Taxes
Pricing may be agreed individually and may depend on your business needs, setup requirements, integrations, usage and service level.
Fees, billing cycles, payment dates, taxes, VAT and payment methods will be set out in the relevant proposal, quotation, invoice or service agreement.
Late Or Failed Payments
If payment is late, failed or overdue, LeadYora may suspend or restrict access to services until payment is received.
Outstanding fees remain payable, including any amounts due under an accepted proposal, order, invoice or service agreement.
Setup, Onboarding & Configuration
LeadYora may provide setup, onboarding, integrations, AI configuration, workflow design, CRM connections and other implementation services.
Such work may require significant time, technical resources and custom configuration.
Setup and onboarding fees may be charged separately or incorporated into ongoing service fees. Once setup work has commenced, setup fees may be non-refundable unless otherwise agreed in writing.
Early Termination & Minimum Terms
Certain services may be subject to minimum contract terms. Where a minimum term applies, it will be specified in the relevant proposal, quotation or service agreement.
If a client terminates before the end of the minimum term, LeadYora may charge an early termination fee as specified in the applicable agreement.
Setup Cost Recovery
Where setup, onboarding, implementation or discounted service costs have been waived, discounted or spread across the contract term, LeadYora may recover the outstanding balance if the agreement is terminated early by the client.
Any remaining agreed fees, discounts, setup costs or implementation costs intended to be recovered during the contract period may become payable.
Cancellation & Refunds
Cancellation rights, notice periods, refunds and end-of-service arrangements will be governed by the relevant proposal, quotation, invoice or service agreement.
Unless otherwise agreed in writing, fees for completed work, commenced setup, used services or overdue amounts are not refundable.
Intellectual Property
LeadYora owns or licenses all rights in its website, branding, designs, content, software, workflows, AI configurations, systems, processes and service materials.
You must not copy, reproduce, resell, reverse engineer, duplicate or exploit LeadYora materials without written permission.
Client Materials & Business Data
You retain ownership of your business data, customer data, logos, content and materials provided to LeadYora.
You grant LeadYora permission to use such materials as necessary to provide, improve, configure and support the agreed services.
Data Protection & Privacy
Personal information is handled in accordance with our Privacy Policy.
Where LeadYora processes customer data on behalf of a business client, the client may act as Data Controller and LeadYora may act as Data Processor.
Confidentiality
Both parties may receive confidential information, including pricing, customer data, business processes, technical setup, workflows and commercial information.
Confidential information must not be disclosed except where required to provide services, comply with law or with written permission.
Third-Party Services
LeadYora may use third-party services, including hosting providers, email platforms, analytics tools, form providers, payment processors, communication tools, CRM systems and integration providers.
LeadYora is not responsible for third-party downtime, policy changes, outages, restrictions or service interruptions outside our control.
Acceptable Use
You must not use LeadYora to send spam, unlawful marketing, misleading messages, abusive content, malware, fraudulent communications or content that infringes third-party rights.
You must not attempt to hack, scrape, overload, disrupt, reverse engineer or interfere with LeadYora’s website, systems, security or services.
Service Availability & Changes
LeadYora aims to provide reliable services, but we do not guarantee uninterrupted, error-free or continuous availability.
Services may be updated, improved, modified, suspended or changed from time to time for operational, technical, security or business reasons.
Beta Or Experimental Features
LeadYora may offer beta, trial or experimental features. Such features may change, be withdrawn, contain errors or operate differently from final released services.
Beta features are provided for testing and evaluation unless otherwise agreed in writing.
Limitation Of Liability
To the maximum extent permitted by law, LeadYora's total aggregate liability arising out of or relating to the services shall not exceed the greater of:
(a) the total fees paid by the client during the three (3) months immediately preceding the event giving rise to the claim; or
(b) £1,000.
Nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot be excluded under applicable law.
This includes loss of profits, revenue, business opportunities, goodwill, anticipated savings, data, customers, leads or reputation.
Indemnity
You agree to indemnify LeadYora against claims, losses, damages, liabilities, costs and expenses arising from your misuse of the services, breach of these terms, unlawful activity, inaccurate information or misuse of customer data.
Force Majeure
LeadYora will not be responsible for delay or failure caused by events outside reasonable control, including internet outages, hosting failures, cyber incidents, platform outages, power cuts, strikes, regulatory changes, natural events or acts of government.
Assignment, Transfer & Business Changes
You may not assign, transfer, novate or pass this agreement to another person, company, buyer or new business owner without LeadYora’s prior written consent.
A sale of your business, assets, website, brand, customer base or company shares does not automatically transfer your agreement with LeadYora.
The original client remains responsible for all obligations, including payment obligations, until LeadYora confirms any approved transfer in writing.
Change Of Control
You must notify LeadYora if there is a material change in ownership, control, directors, shareholders, trading status, business structure, merger, acquisition or restructuring of your business.
LeadYora may review, approve, refuse or require updated terms before continuing services after such change.
Insolvency & Business Closure
LeadYora may suspend or terminate services if the client enters insolvency, administration, liquidation, bankruptcy, receivership, a voluntary arrangement with creditors, becomes dormant or ceases trading.
All unpaid fees accrued before suspension, termination or insolvency remain payable to the extent permitted by law.
Electronic Communications & Signatures
You agree that electronic communications, online forms, email confirmations, accepted proposals, digital approvals, checked boxes and electronic signatures may be used for service-related matters.
Where legally valid, such electronic actions may create binding obligations.
Service Agreement Takes Priority
If you enter into a separate written proposal, quotation, order form, data processing agreement, service agreement or contract with LeadYora, that document will take priority where it conflicts with these website terms.
These Terms & Conditions apply generally unless varied or replaced in writing.
Legal Compliance
You are responsible for ensuring that your use of LeadYora complies with all laws, regulations and professional obligations applicable to your business.
This may include laws relating to data protection, electronic communications, marketing, advertising, consumer protection, business conduct, professional standards and customer communications.
LeadYora’s services are provided in accordance with applicable UK laws, including where relevant UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations.
Assignment By LeadYora
LeadYora may assign, transfer or subcontract its rights and obligations where reasonably necessary for business operations, restructuring, sale of assets, company reorganisation or use of trusted suppliers.
This will not reduce your core contractual rights under any applicable service agreement.
Severability
If any part of these Terms & Conditions is found to be invalid, unlawful or unenforceable, the remaining parts will continue to apply.
Waiver
If LeadYora does not immediately enforce a right under these terms, this does not mean LeadYora has waived that right or cannot enforce it later.
Entire Agreement
These Terms & Conditions, together with any accepted proposal, quotation, order form, service agreement or written contract, form the agreement between you and LeadYora for the relevant services.
You should not rely on informal promises or statements unless they are confirmed in writing.
Changes To These Terms
LeadYora may update these Terms & Conditions from time to time. Any updates will be published on this page with the revised effective date.
Continued use of the website or services after changes are published means you accept the updated terms.
Complaints & Dispute Resolution
If you have a complaint or dispute, please contact LeadYora first so we can try to resolve the matter informally and fairly.

Governing Law & Jurisdiction
These Terms & Conditions are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes relating to these terms, unless otherwise required by applicable law.
